Terms of Service

1. Acceptance of Terms
By accessing or using the Logistics platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including organisation administrators, foremen, supervisors, and operators.
2. The Service
Logistics provides workforce scheduling, job tracking, time recording, and logistics management tools. Features available to your organisation depend on the subscription plan selected by your organisation administrator. Plan details are described on our Pricing page.
3. Accounts and Organisations
- Each organisation is managed by an administrator (Foreman) who is responsible for the accuracy of data entered, including site locations, job schedules, and operator assignments.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must not share your account with any other person.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Location Tracking
Certain subscription plans include location-based features:
- Geofenced clock-in (Growth and above) — the Service may require you to be within a defined radius of a site before clocking in. A single GPS coordinate is captured at clock-in and stored as part of your shift record.
- Live operator tracking (Enterprise and Custom) — when your organisation has enabled live tracking, your GPS position is transmitted to the Service while you are clocked in to a shift. This data is visible to your organisation's foremen and supervisors in real time and is used for geofence arrival notifications.
Operator consent: By clocking in to a shift while live tracking is enabled, you consent to the collection and use of your location data as described above and in our Privacy Policy. You may withdraw consent at any time by disabling location permissions in your browser; however, this may prevent you from clocking in if your organisation has enabled geofence verification.
Organisation administrators are responsible for obtaining any necessary consents from their employees under applicable employment law before enabling location tracking features.
5. Subscription Plans and Billing
- Subscription fees are charged in advance on a monthly basis and are non-refundable except where required by law.
- Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.
- Failure to pay will result in downgrade to the Free plan. Access to paid features will be restricted until payment is resolved.
- Subscription limits (operators, trucks, sites) are enforced per plan. Exceeding limits requires an upgrade.
- We reserve the right to change pricing with 30 days notice delivered via in-app announcement or email.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to reverse-engineer, scrape, or extract data from the Service by automated means.
- Introduce malware or attempt to disrupt the availability of the Service.
- Use the Service to harass, threaten, or discriminate against any individual.
7. Intellectual Property
All content, design, and software comprising the Service are owned by Ailacs or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission. Your organisation's data (job records, clock entries, operator details) remains your property; we process it only to provide the Service.
8. Limitation of Liability
To the maximum extent permitted by law, Ailacs is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, revenue, or business opportunity. Our total liability to you in any month shall not exceed the subscription fees paid by your organisation in that month.
9. Termination
You may cancel your subscription at any time through the Organisation settings page. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your data will be retained for 30 days before deletion, during which time you may request an export.
10. Governing Law
These Terms are governed by the laws of Australia. Any dispute will be subject to the exclusive jurisdiction of Australian courts.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after updated Terms take effect constitutes acceptance. Material changes will be announced in-app with at least 14 days notice.
